Texas Instruments Announces Agreement to Acquire ATL Research A/S

Purchase Enhances RF Expertise for Next Generation Wireless Products

Dallas (June 15, 1999) - Texas Instruments today announced that it has entered into an agreement to purchase ATL Research A/S. Based in Aalborg, Denmark, ATL is an independent research and development company specializing in radio frequency (RF) engineering, primarily for cellular communications. This acquisition will give TI added RF skills, which will enhance the company's expertise in next generation wireless communications applications.

"We will see an explosion in the capabilities of cell phones of the future- features like remote control functions, e-mail and Internet access, and health monitors - to name a few," said Gilles Delfassy, vice president, TI's Semiconductor Group, and manager of the Wireless Business Unit. "TI's products are enabling these features, and having increased RF engineering expertise in-house will get us there even faster."

TI's wireless RF products are designed for optimal performance with the company's digital and analog baseband technologies. TI is the world leader in providing digital signal processing (DSP) technologies for the wireless market and has been chosen by eight of the ten largest wireless network makers to provide solutions for next generation base stations.

ATL, an expert in the field of digital communications equipment for cellular applications, was founded in 1996 by three engineers with experience in the Danish cellular industry. The privately held company has grown steadily to about 30 employees, virtually all highly skilled engineers. ATL will remain in Aalborg and operate as a Texas Instruments subsidiary. The transaction is expected to close by the end of the month. Terms were not disclosed.
