Agreement for TI Click to Chat Service

Important – read carefully:  THIS AGREEMENT IS A LEGAL AGREEMENT (“AGREEMENT”) BETWEEN YOU (EITHER AN INDIVIDUAL OR ENTITY) AND TEXAS INSTRUMENTS INCORPORATED (“TI”), AND IS DISPLAYED FOR YOU TO READ PRIOR TO USING THE TI CLICK TO CHAT SERVICE.  YOUR USE OF THE TI CLICK TO CHAT SERVICE IS EXPRESSLY CONDITIONED UPON YOUR ACCEPTING AND AGREEING TO THE TERMS OF THIS AGREEMENT.  DO NOT CLICK “I AGREE” UNLESS 1) YOU ARE AUTHORIZED TO AGREE TO THE TERMS OF THIS AGREEMENT OF BEHALF OF YOURSELF AND YOUR COMPANY; AND 2) YOU INTEND TO ENTER THIS LEGALLY BINDING AGREEMENT ON BEHALF OF YOURSELF AND YOUR COMPANY.

Through Click to Chat, you may have a live question and answer session with TI or an agent of TI and TI may provide you with support, suggestions or other information available on TI’s web site or otherwise regarding TI semiconductor products and services or their use in your application (“Service”).

When you initiate the Service, TI may ask you to provide the following registration information: name, email address, company name, nationality and other pertinent information necessary for TI to provide you the Service.  TI will use this information temporarily in order to establish the chat and provide you the Service, but will not store any personally identifying information after the chat ends. TI will automatically receive and record non-personally identifiable information on TI server logs from your browser, including your IP address. TI will not attempt to match such information with any personally identifiable information that you provide. You may also be required to complete a form for purposes of defining and clarifying your support request.  During the chat, you may enter into a live question and answer session with an agent of TI.  After the chat, TI may ask you to fill out an anonymous exit survey in order to obtain valuable feedback about the Service.  Filling out the exit survey is completely voluntary.

When using the Service, you agree that:

1. TI may use your registration information in context of providing you the Service;
2. you are solely responsible for the content of your communications and you will not post any knowingly false, inaccurate, abusive, hateful, sexually oriented, profane, vulgar, inappropriate, defamatory, infringing, obscene or indecent information or material or otherwise defame, threaten, abuse, harass or otherwise violate the legal rights of others;
3. you will not attempt to disrupt the Service or circumvent the Service's security measures;
4. you will not post any information that is confidential or proprietary to you or anyone else;
5. you will fully comply with all relevant laws, rules, and regulations concerning your use of the Service, including, but not limited to, export control laws; and
6. this Agreement is governed by and will be construed and enforced in accordance with, the laws of the State of Texas (without regard to conflicts of laws rules) and that any legal action between you and TI related to your use of the Service or this Agreement shall be brought exclusively in a federal or state court of competent jurisdiction in Dallas County, Texas.

THE SERVICE AND ANY INFORMATION OR MATERIALS PROVIDED TO YOU THROUGH USE OF THE SERVICE ARE PROVIDED "AS IS".  TI, ITS AFFILIATES AND SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE SERVICE AND ANY INFORMATION OR MATERIALS PROVIDED THROUGH USE OF THE SERVICE FOR ANY PURPOSE AND DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THESE, INCLUDING BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHT.

IN NO EVENT SHALL TI, ITS AFFILIATES OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO, DAMAGES RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION RESULTING FROM USE OF THIS SITE OR ARISING OUT OF THE USE OR PERFORMANCE OF THE MATERIALS AVAILABLE ON THIS SITE, REGARDLESS OF WHETHER TI OR AN AUTHORIZED TI REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
