GENERAL/一般条款：

SAMPLES OF TI PRODUCTS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS" AND FOR EXPERIMENTAL AND TESTING PURPOSES ONLY. You, the recipient of samples, may not use samples in final production systems, and may not resell samples. TI DISCLAIMS ALL WARRANTIES AND ANY AND ALL LIABILITIES, EXPRESS OR IMPLIED, REGARDING SAMPLES, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY LIABILITY FOR THE INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR LIABILITY FOR ANY OTHER DAMAGES OF ANY KIND.
TI的样品均以实际状态提供，对其出售时所具有的缺陷TI不承担任何责任，且仅提供用作实验及测试用途。样品的接收者不应将样品用于最终的生产系统，亦不应转售样品。TI拒绝作出与该等样品有关的任何明示或默示的保证和责任，包括但不限于对其可售性及适用于某一特定用途之任何默示保证、或未侵犯知识产权之任何责任、或任何其他的任何种类的损害赔偿责任。

TI may provide technical, applications or design advice, quality characterization, reliability data or other services in connection with these samples or otherwise. ANY SUCH ADVICE OR ASSISTANCE IS PROVIDED “AS IS,” AND “WITH ALL FAULTS” AND TI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE AND NON-INFRINGEMENT OF ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHT. Further, you agree that TI’s provision of these services shall not alter the exclusion of warranties and liabilities for product samples as set forth above, and that no additional obligations or liabilities shall arise from TI providing such services.
TI可提供与样品相关的有关技术、应用或设计的意见、质量评价、可靠性数据及其他服务或支持。该等任何意见或协助均以实际状态提供，对其所具有的缺陷TI不承担任何责任，且TI拒绝做出任何担保，包括但不限于对所有权的保证及未侵犯任何第三方知识产权的保证。贵方进一步同意，TI提供该等服务并不影响上述有关产品样品的保证和责任的免除条款，TI将不因提供该等服务而产生任何额外的义务或责任。

Any sale of TI products by TI shall be exclusively subject to and governed by the Texas Instruments Incorporated Standard Terms and Conditions of Sale for Semiconductor Products available at http://www.ti.com/sc/docs/stdterms.htm.
TI的对TI产品的任何销售应适用“TI公司半导体产品标准销售条款及条件”（发布于http://www.ti.com/sc/docs/stdterms.htm）的规定。

USE OF TI PRODUCTS IN Safety-Critical, Military and Automotive Applications/TI产品在安全严格设施、军事及汽车行业等领域的使用：

TI products are not authorized for use in safety-critical applications (such as life support) where a failure of the TI product would reasonably be expected to cause severe personal injury or death, unless officers of the parties have executed an agreement specifically governing such use. You shall fully indemnify TI and its representatives against any damages arising out of the unauthorized use of TI products in such safety-critical applications.
TI的产品未被许可在关键性安全设施（即当TI的产品故障将被合理地预期将导致严重的人身伤害或死亡的情况，例如生命维持系统）中使用,，除非相关各方的高级管理人员已就该项特别使用签订了特定的协议。贵方应向TI及其代表全额补偿它/们由于TI产品的在关键性安全设施中的未经许可的使用而导致的一切损失。

TI products are neither designed nor intended for use in military/aerospace applications or environments unless the TI products are specifically designated by TI as military-grade or "enhanced plastic". Only products designated by TI as military-grade meet military specifications. You acknowledge and agree that any such use of TI products which TI has not designated as military-grade is solely at your risk, and that you are solely responsible for compliance with all legal and regulatory requirements in connection with such use.
除了被TI特别指定的符合军用级别或使用了“增强型塑胶”的产品外，其他TI的产品均未以用于军事/航天领域或将对环境产生影响的领域的目的而设计、亦并不意在被用于该等领域。只有被TI指定为军用级别的产品才能达到军用标准。贵方确认并同意，将未被TI指定为军用级别的产品用于军用领域将可能产生的风险将完全由贵方承担，且贵方将就该等使用相关的所有法律和监管机构的要求的符合情况承担全部的责任。

TI products are neither designed nor intended for use in automotive applications or environments unless the specific TI products are designated by TI as compliant with ISO/TS 16949 requirements. In any case of such use of non-designated products, TI will not be responsible for any failure to meet ISO/TS 16949 requirements.
除了TI特别指定的符合ISO/TS 16949规定的产品外，其他TI的产品均未以用于汽车领域或将对环境产生影响的领域的目的而设计、亦并不意在被用于该等领域。TI对任何非其特别指定的产品（即不符合ISO/TS 16949规定的产品）在该等领域的使用概不负责。

You represent that you have all necessary expertise in the safety and regulatory ramifications of your applications, and you acknowledge and agree that you are solely responsible for compliance with all legal, regulatory and safety-related requirements concerning your products and any use of TI products in your applications, notwithstanding any applications-related information or support that may be provided by TI.
贵方声明，贵方拥有贵方应用领域的有关安全及法规监管要求及后果的所有必需的专业知识；此外，贵方确认及同意，贵方将就贵方的产品及在贵方的应用中对TI产品的任何使用相关的所有法律、监管机构、及安全性方面的要求承担全部的责任，而无论TI是否向贵方提供了任何有关其产品应用的信息或支持。

Governing Law: This contract is governed by and construed in accordance with the laws of the Republic of Singapore, without reference to choice of law provisions. The parties agree that the 1980 United Nations Convention on Contracts for the International Sale of Goods does not apply. Any disputes relating to this contract that cannot be settled amicably within a period of sixty (60) days will be subject to arbitration by the Singapore International Arbitration Center upon the application of either party. Such disputes shall be determined by arbitration by the Singapore International Arbitration Center, applying laws of Singapore in accordance with the Arbitration Rules of the Center that are in force on the date of the arbitration to the extent that they are compatible with the Model law or Part II of the International Arbitration Act.
管辖法律：本合同受新加坡共和国法律（冲突法除外）管辖并依其解释。各方同意1980年《联合国国际货物买卖合同公约》不适用。任何与本合同有关的争议若不能在六十（60）天内友好解决，任何一方均可将其提交新加坡国际仲裁中心仲裁解决。该等争议应由新加坡国际仲裁中心适用新加坡法律、依照该中心在仲裁当日有效的仲裁规则（在不违反《示范法》或《国际仲裁法》第二部分的范围内）解决。

Export Control/出口控制：

Exports, re-exports, transfers and the resale of TI products are subject to US export controls and sanctions, the most important of which are administered by the Commerce Department’s Bureau of Industry and Security (“BIS”) under its Export Administration Regulations (“EAR”, 15 Code of Federal Regulations Parts 730-774). 		You acknowledges and agrees that it will comply with all applicable laws and regulations whenever it exports, re-exports, transfers or resells TI’s commodities, software, technical data and direct products thereof.

对TI产品的出口、再出口、转让和转售受限于美国的出口控制和制裁，其中最重要的部分由商务部工业安全局（“BIS”）依据其出口管理条例(“EAR”, 《联邦法规汇编》第15编，第730-774章)规制。贵方认可并同意：其在出口、再出口、转让或转售TI商品、软件、技术资料及其直接产品时将始终遵守所有适用法规。

You acknowledges and agrees that TI’s commodities, software, technical data and direct products thereof may not be exported, re-exported, transferred or resold to the following U.S. embargoed, sanctioned or restricted destinations or entities/enterprises of: Cuba, Iran, North Korea, Sudan and/or Syria without prior authorization from BIS or any other responsible U.S. Government agency and in compliance with the EAR and any other applicable U.S. Government regulation. You further acknowledges and agrees that TI’s commodities, software, technical data and direct products thereof may not be exported, re-exported, transferred or resold to a person or entity barred by U.S. Government from participating in export activities and may not be sold or resold directly or indirectly for the design, development, fabrication or use of nuclear, chemical or biological weapons or missile technology without U.S. Government authorization Denied persons include, but are not limited to, those individual entities listed on the Commerce Department’s Denied Persons List, the Commerce Department Entity List, Directorate of Defense Trade Controls List of Statutorily Debarred Parties, and the Treasury Department’s Lists of Specially Designated Nationals. Without limiting the generality of the foregoing, You further agrees that TI commodities, software, technical data and the direct products thereof may not be exported, re-exported, transferred, purchased or resold for a military end-use in or by any military entity of: Albania, Armenia, Azerbaijan, Belarus, Cambodia, China, Georgia, Iraq, Kazakhstan, North Korea, Kyrgyzstan, Laos, Libya, Macau, Moldova, Mongolia, Russia, Tajikistan, Turkmenistan, Ukraine, Uzbekistan, Vietnam. The phrase 'military end-use' means incorporation into a military item described on the U.S. Munitions List (USML) (22 CFR part 121, International Traffic in Arms Regulations) or the International Munitions List (IML) (as set out on the Wassenaar Arrangement website at http:\\www.wassenaar.org). The term 'military entity' means the national armed services (army, navy, marine, air force, or coast guard), as well as the national guard and national police, government intelligence or reconnaissance organizations. The above lists of U.S. embargoed/sanctioned destinations and restricted countries are subject to change.
贵方认可并同意：未经BIS或其他任何负责的美国政府机构事先授权，或在未遵守EAR或其他任何适用的美国政府规定的情况下，TI的商品、软件、技术资料及其直接产品均不得出口、再出口、转让或转售至以下被美国禁运、制裁或限制的国家或其实体/企业：古巴、伊朗、朝鲜、苏丹和/或叙利亚。贵方进一步认可并同意：TI的商品、软件、技术资料及其直接产品均不得出口、再出口、转让或转售给任何被美国政府禁止从事出口活动的个人或实体；未经美国政府授权，不得为设计、开发、生产或使用核武器、化学或生物武器或导弹技术的目的而直接或间接地出售或转售。被禁者包括但不限于被列入以下黑名单的个人或实体：商务部的被拒个人名单、商务部的实体名单、国防贸易管理委员会的被禁者名单以及财政部的特别指定国民名单。在不限制前述规定普适性的前提下，贵方进一步同意：TI商品、软件、技术资料及其直接产品不得出口、再出口、转让、购买或转售以最终在以下国家/地区或被以下国家/地区的任何军事实体用于军事用途：阿尔巴尼亚、亚美尼亚、阿塞拜疆、白俄罗斯、柬埔寨、中国、格鲁吉亚、伊拉克、哈萨克斯坦、朝鲜、吉尔吉斯斯坦、老挝、利比亚、澳门、摩尔多瓦、蒙古、俄罗斯、塔吉克斯坦、土库曼斯坦、乌克兰、乌兹别克斯坦、越南。“最终用于军事用途”指被融入美国军火清单（USML）(《联邦法规汇编》第22编第121章《国际军火运输管制法案》) 或国际军火清单（IML）（规定于《瓦圣纳协议》，见其网站http:\\www.wassenaar.org）中列明的军用物品。“军事实体”指国家武装部队（陆军、海军、海军陆战队、空军或海岸警卫队），以及国民警卫队和国家警察、政府情报部门或侦查组织。上述被美国禁运/制裁和限制的国家和地区清单可修改。

You further agrees to obtain any necessary export license or other documentation prior to the exportation or re-exportation of any product, technical data, software or software source code acquired from TI under this Agreement or any direct product of such technical data, software or software source code. Each party shall secure, at its own expense, such licenses and export and import documents as are necessary for each respective party to fulfill its obligations under this Agreement. If government approvals cannot be obtained, TI may terminate, cancel or otherwise would be excused from performing any obligations it may have under this Agreement.
贵方进一步同意，在出口或再出口任何依据本协议从TI处取得的产品、技术资料、软件或软件源代码或任何该等技术资料、软件或软件源代码的直接产品之前，取得任何必要的出口许可或其他文件。各方应自费保护该等许可和进出口文件，以便各相应方履行其在本协议项下的义务。若无法取得政府批准，TI可终止或取消本协议，或免于履行其在本协议项下的任何义务。

Entire Agreement: This contract constitutes the entire agreement between the parties relating to the sale of the products and supersedes all previous communications, representations, or agreements, either oral or written, with respect to the subject matter hereof. No prior representations or statements relating to the sale of the products made by any TI representative, which are not stated herein, shall be binding on TI. No addition to or modification of any provision of this contract shall be binding upon TI unless made in writing and signed by a duly authorized TI representative. No course of dealing or trade usage or course of performance shall be relevant to explain or supplement any term in this contract. These terms and conditions shall prevail notwithstanding any different, conflicting or additional terms and conditions that may appear on any purchase order or other writing not expressly incorporated herein, including but not limited to data sheets, application notes and purchase order acknowledgements. The section headings contained in this contract are for reference purposes only and shall not affect in any way the meaning or interpretation of this contract.

完整协议：本合同构成各方有关产品销售的完整协议，取代之前与本合同标的有关的所有口头或书面通讯、陈述或协议。若任何TI代表此前曾就产品销售作过任何陈述或说明而未被包括在本合同中，该等陈述或说明对TI无拘束力。若非以书面作出并经TI适当授权代表签署，对本合同任何条款的补充或修改对TI均无拘束力。不得援引任何交易行为、交易习惯或履行行为来解释或补充本合同的任何条款。无论任何订单或其他书面文件（包括但不限于数据表、使用说明和订单确认使用说明和订单确认）中是否包含任何本合同未明确规定的不同的、有冲突的或额外的条款和条件，应以本条款和条件为准。本合同内各条的标题仅为参考方便而设，不得对本合同的含义或解释构成任何影响。
